About Michelle
Michelle advises on a broad range of corporate matters including private acquisitions and disposals, investor and shareholders' agreements, share capital changes and general company and constitutional/governance matters. She also advises on B2B commercial contracts and is part of the capital markets team.
Michelle enjoys getting to know her clients and their businesses to find practical solutions that achieve their commercial objectives. Her work involves advising a wide range of stakeholders: private companies, directors, shareholders and potential investors.
Her experience includes:
- Advising the majority shareholders on the sale of Health and Case Management Limited, a leading service provider in physical and psychological rehabilitation and case management, to Apposite Capital.
- Advising Oosha on the sale of its entire issued share capital to the Access Group, a provider of software solutions to the mid-market.
- Acting for a shareholder on the acquisition of the remaining share capital of a private company and advising on the complex pre-emption and constitutional procedure and the subsequent ‘drag along’ purchase of minority shareholders.
- Advising a SaaS provider on the contractual framework for its approved re-seller network.
